Transitioning MAMA to an arms-length governance model

> THE CONTEXT

Following consideration of alternatives, AlburyCity made a decision to transition the Murray Art Museum Albury (MAMA) to an arms-length mode of operation, partly in order to optimise philanthropic support and facilitate the development of other revenue streams. The preferred approach was a facility managed by an independent company limited by guarantee with a governing board, with the building and collection continuing in Council ownership. Assistance from Positive Solutions was sought to effect this transition.

> OUR APPROACH 

Commencing with the Project Model, Positive Solutions evaluated the two main options for a new governance model. The recommendation included the legal entity, the nature of a future board, linkage to the Art Foundation, necessary policies and procedures, funding agreements, and reporting and accountability arrangements. The report clearly laid out roles and responsibilities of MAMA and Alburycity. We also suggested a staged transition plan to minimise risk.

> THE BRIEF 

The process occurred in two stages. First, the Project Model, which involved researching, planning and recommendations. Subsequently, the Project Implementation, which would see Positive Solutions guiding the project through the transition.

> THE RESULT

Alburycity accepted the recommended model for transition, and Positive Solutions assisted with implementation. Key steps included stakeholder consultation, drafting and adoption of a Constitution for the company, establishment of a Services Agreement between Council and the company, drafting and approval of a Funding Agreement between Council and the Company, and recruitment of initial board members.

The Minister for Local Government approved the application from Albury City Council to form a public company to manage and operate MAMA, which will now begin the governance transition to an independent MAMA Ltd.
